These Terms of Use / Terms of Service ("Terms") govern (a) your access to and use of Facilio's website located at https://facilio.com/ ("Website"), and (b) your access to and use of Facilio's software-as-a-service platform (the "Platform" or "Services").
These Terms form a legally binding agreement between Facilio, Inc, a company headquartered in the United States including its subsidiaries, affiliates and branch offices ("Facilio", "we", "us", or "our") and the entity or individual accessing the Website or using the Platform ("Customer", "you", or "your").
If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that entity.
By accessing the Website or creating an account on the Platform, you agree to these Terms.
Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract. Use of the Platform is limited to business and professional use only.
Website Use
The Website provides general company, product, and marketing information. You may browse the Website for informational purposes only.
You may not copy or scrape content, interfere with functionality, bypass security, or use automated tools without consent.
SaaS Platform Access
Access to the Platform requires a valid subscription or authorization. Your use of the Platform is limited to:
- Your business operations,
- in accordance with these Terms, and
- subject to the usage limits, features, modules, and term defined in the applicable Service Order Form and Master Services Agreement or similar contracts ("Agreement") executed between Facilio and Customer.
In case of conflict, the Agreement (if executed) prevail over these Terms.
Customer Responsibilities
You agree to:
- Maintain confidentiality of your login credentials.
- Ensure that only authorized users access the Platform.
- Use the Platform in compliance with applicable laws, including data protection, labor, security, and facility regulations.
- Not use the Platform to store, transmit, or process prohibited or illegal content.
You remain responsible for all activity occurring under your account.
Customer Data
Customer retains ownership of any data, including personal data that Customer or its authorized users submit to or process through the Services ("Customer Data"). Customer Data does not include aggregated data, de-identified data, or usage, performance, and diagnostic data generated by the Services. Facilio receives a limited license to process Customer Data solely to provide the Services. No sale of Customer Data.
Security
We implement industry-standard administrative, technical, and physical safeguards including encryption, monitoring, and access controls.
Intellectual Property
All rights in the Platform, Website, and software, documentation, APIs, any improvements or derivatives remain with Facilio. No rights are transferred to the Customer except the limited, non-sublicensable, non-transferable right to access and use the Platform. You may not: reverse engineer, decompile, or modify the Platform; remove proprietary notices; use the Platform to build a competing service.
Third-Party Services
Facilio is not responsible for third-party providers integrated with the Platform. performance.
Your use of third-party tools is subject to their own terms.
Fees & Billing
Fees are defined in the Service Order Form and are non-refundable unless otherwise agreed.
Prohibited Use
Customer may not introduce malware, conduct unauthorized tests, disrupt systems, or breach laws.
Suspension & Termination
Facilio may suspend or terminate access to the Platform for legal reasons, non-payment, or breach of these Terms and/or the Agreement. Upon termination, your access to the Platform ends and Customer Data is retained for a limited period in accordance with Facilio's retention policy.
Disclaimer
Except where prohibited by law: Platform and Website are provided 'as-is' and 'as available' without warranties regarding accuracy, reliability, uptime or suitability. We disclaim all implied warranties (merchantability, fitness for a particular purpose, non-infringement). Some jurisdictions may not allow full disclaimers; mandatory rights remain unaffected.
Limitation of Liability
To the fullest extent permitted by applicable laws: Facilio's total liability, in the aggregate is limited to the subscription fees paid by the Customer in the 12 months preceding the most recent claim and we are not liable for any indirect, incidental, consequential, special or punitive damages.
Indemnification
You agree to indemnify and hold Facilio harmless from any claims arising out of: (a) your misuse of the Website or Platform; (b) violation of applicable laws; (c) breach of these Terms; or (d) disputes between you and your end-users or personnel.
Governing Law & Jurisdiction
Unless otherwise stated in a signed Agreement, these Terms are governed by the laws of the State of New York, United States, excluding conflict of laws rules and the Courts in New York, will have exclusive jurisdiction.
Changes to Terms
Facilio may update these Terms at any time. Revised Terms become effective upon posting. Continued use of the Website or Platform constitutes acceptance.
